TREES: Welcome to the 25th annual
2 meeting of
the Kiawah Island Community
3 Association. My name is Peter Trees and I am
4 the
current president of the Association.
I'd
5 like to
officially call this meeting to order
6 and
introduce the board of directors of your
7 Association. To my
left is Jon Weitz. A
8 couple of
seats over from him is Bill Wert.
9 Next to
him is Townsend Clarkson. To my right
10 here is
Pat McKinney. To his right is Tom
11
Keating. And our general
manager, Joe Bunting,
12 is to the
far right. Another of our directors,
13 Buddy
Darby, will be here shortly.
14 I'd
like to thank our host for this
15 marvelous facility. We had this meeting called
16 for March
the 3rd and we cancelled it. And the
17 resort
very nicely allowed us to come in at
18 another
time. Thank you very much.
19 I'd
like to introduce our parliamentarian
20 for
today's meeting. Attorney Andy
Gowder.
21 He's
sitting here in the front row. Andy,
you
22 might want
to stand up. Andy is with the firm
23 of Pratt-Thomas, Pearce, Epting &
Walker,
24 KICA's
legal counsel.
25 Today's auditors are Mr.
Lewis Grant [sic- Ms. Holly Golden] and

Putich. I believe they're outside

auditing. They will be
certifying the various
3 quorum and
voting numbers for us.
4 Next, I have the pleasure of introducing
5 past
property owner directors attending today's
6
meeting. Among the PODs who have
served and
7 retired in
the course of our 25 years, five
8 have let us know that they will be with us
9
today. As I call their names I
appreciate them
10
standing. And please hold your
applause until
11 they are
all standing. First, the dean of our
12 retirees, a man who first served in
'83, Don
13
White. Don's wife Gloria is here
and she
14 served
beginning in 1989. Next is Dick Sayers,
15 who was on
the board beginning in 1990. Tom
16 Winkelman began serving the year after
Dick in
17 1991. And lastly, Eric Nielsen began serving
18 in 1995
and Eric was the first property owner
19 director
to be elected president of the
20
Association. Please let us show
these honored
21 guests how
much we appreciate their time. We
22 appreciate
you and the others of your category
23 that have
done so much for us in the years
24 before
this.

Kiawah

here, the Honorable James Piet. And

past and present members of town
4 council
that are here also, we are honored to
5 have you
with us today as well.

have the minutes of last year's meeting.
7 They are
verbatim minutes. And they were taken
8 by a court
reporter. Do I have a motion to

minutes from last year's meeting

minutes are available at the

headquarters at any time during

business hours. You may review
them.
20 A 51
percent quorum is required to conduct
21 this
meeting and to vote on proposals I, III,
22 IV and portions of II. A 60 percent quorum is
23 required
to vote on the other portion of
24 proposal
II, which would be a covenant
25
amendment. I will now read the
quorum figure

1 as of 5:00
p.m. on Thursday, for the record.
2 Again,
that was the quorum as of 5:00 p.m. on
3 Thursday. Total votes available for a quorum
4 are
7,620. Total votes required for a
quorum
5 of 51
percent is 3,887. Total quorum required
6 for
proposal II is 60 percent of membership,
7
4,572. We have reached a
quorum. The total
8 votes
received are 5,038. Votes in excess of
9 51 percent
are 1,151. Votes in excess of 60
10 percent
quorum were 466. That's quite a
11 different
picture from last year, if you
12
recall.
13 Due
to the large number of votes being
14 conducted
this year, we have changed the order
15 to allow
adequate time for votes to be counted.
16 Even so,
it may take longer than usual. We
17 planned to
have the results of the election
18 prior to
adjournment. While every effort will
19 be made to
have the results of the proposal
20 votes, if
they are not available at the time of
21
adjournment, they will be posted on the web
22 site and
available from the administration
23 staff.
24 We
will now proceed with the election of
25 two
property owner directors. This is an

1 exciting
time. We're voting on two directors
2 for first
time in our history, as we move into
3 the
interim transition in the change over from
4 developer
control to property owner control of
5 the
Association. For the first time with
these
6 two
additional property owner directors on the
7 board, the
property owner directors will have a
8 majority
of the board.
9
Before we move into the nominating
10 speeches,
I would like the persons who were
11 assigned
proxies to report to the staff in the
12 lobby and
collect your proxy votes. I am
13 supposed
to read this list, which I don't have.
14 They are
obviously struggling to pull that list
15 together.
16 Let
me make this point. The nominators,
17 the
seconders and the candidates themselves in
18 accepting
their nomination are on a time limit
19 that's
very important that we follow. The
20 nominators
have two minutes; the seconders have
21 one minute; and the candidates have
three
22
minutes. I'll be somewhat
tolerate in meeting
23 those, but
I'll give you the word if you go
24 over those
deadlines. If you'll just be
25 patient, I'll call out the people that
are

1 going to
have to pick up their proxies. Ladies
2 and
gentlemen, thank you for your indulgence in
3 this. Joe tells me it's going to be 10 or 15
4 minutes
before we have the list of people who
5 hold the
proxies.
6 In the meantime, we will have the
7
nominations. First on the list
to be nominated
8 in
alphabetical order is Ms. Avril Fenwick.
9 Avril was
nominated by Ginny Orban. Ginny,
10 will you come to the microphone in the
center
11 aisle and
give your nominating comments,

please.
13 MS.
ORBAN: I am pleased to nominate
14 Avril
Fenwick for the position of property
15 owner
director for the KICA. Avril is a
16 graduate
of the University of Michigan school
17 of
business administration. She has a
master's
18 degree in
financial planning. She is a
19 certified
financial planner with personal
20 financial
planning and tax preparation practice
21 here on
Kiawah. She gives of her time and
22
considerable financial knowledge by currently
23 serving on
the KICA financial advisory
24 committee
and as treasurer of the conservancy.
25 Her
and her realtor husband, Rick, began

1 visiting
Kiawah in the early 1980s and bought
2 their
first piece of property in 1986. In
1996
3 they moved
from their home in Danbury,
4
Connecticut to become full-time residents.
5 Their home
is on Snowy Egret and they own a
6 Tennis
Club villa.
7 Those
are the on-paper facts about Avril
8 the candidate, and most of you have
probably
9 read
them. But I'd like to tell you about
10 Avril, my
friend. Avril is an intelligent and
11 thoughtful
personal. Most importantly she is a
12 good
listener. I sometimes think this is
usual
13 in our
world of words. So let me repeat.
14 Avril is a
good listener. You can be sure that
15 she will
gather all of the facts and think
16 before she
comes to a conclusion and speaks.
17 Avril is
patient, patient enough to deal with
18 all the
information detailed reports and
19 meetings
of all kinds that are part of a
20 property
owner director's job. In addition,
21 she is
organized. No lost paperwork for
her.
22 Avril is
fair minded. She will listen to all
23 points of
view on all issues facing the future
24 of
Kiawah. When she decides what is right,
she
25 has the
fortitude to stand by her principals.

Finally, Avril is civil. I
looked up the
2 word in
the thesaurus. Some synonyms are
3 polite,
courteous, respectful, well-mannered,
4 cordial,
urbane and refined, the kind of person
5 we would
all like to work with. We would be
6 fortunate
to have Avril Fenwick as a member of
7 the board
of directors of the KICA.
8 MR.
TREES: Thank you, Ginny. The
9 nomination
was seconded by Sue VanCamp. Sue,
10 your
remarks.
11 MS.
VANCAMP: Avril has been a friend of
12 mine for
over five years. I cannot think of a
13 person I
would trust more to make fair
14
consideration and reasoned decisions in the
15 role of
property owner director. Therefore, it
16 is an
honor for me to second the nomination of
17 Avril
Fenwick.
18 MR.
TREES: Thank you, Sue. Avril, your
19 acceptance
of the nomination, please.
20 MS.
FENWICK: I am so fortunate to have
21 such good
friends. I accept the nomination of
22 property
owner director for the Association. I
23 feel I am
prepared for this position. I am
24 more than
willing to give whatever time is
25 necessary
to fulfill the duties of property
